Before purchasing or using the Pionex eSIM Services (the ‘Services’), you (the ‘User’ or ‘You’) are required to read and fully understand these Terms of Service & Privacy Policy (the ‘Agreement’). Please pay particular attention to the clauses regarding LIMITATION OF LIABILITY, REFUND POLICY, FAIR USE FOR ROAMING, PROCESSING OF PERSONAL DATA, and GOVERNING LAW AND JURISDICTION. If you do not agree with any part of this Agreement, please do not purchase or use the Services.

您在 Pionex 應用內點選「我已閱讀並同意」、勾選確認框、或完成 eSIM 套餐購買/啟用的任一行為,即視為您已充分閱讀、理解並接受本協議全部內容,並與本協議的服務提供方(以下簡稱「Pionex」或「我們」)之間成立具有法律約束力的合同關係。

By clicking ‘I have read and agree’, ticking the consent checkbox, or completing the purchase or activation of any eSIM plan within the Pionex application, you acknowledge that you have read, understood, and accepted this Agreement in full, and a legally binding contract is formed between you and the service provider (‘Pionex’ or ‘we’).

特別提示:eSIM 服務為預付費、按需遠端啟用的數字內容。eSIM 一經購買並交付(包括但不限於二維碼、啟用碼或配置檔案已生成或下載),即視為已交付與開始消費,原則上不予退費。

IMPORTANT: THE eSIM SERVICES ARE PRE-PAID DIGITAL CONTENT DELIVERED ON-DEMAND AND REMOTELY ACTIVATED. ONCE PURCHASED AND DELIVERED (INCLUDING THE GENERATION OR DOWNLOAD OF A QR CODE, ACTIVATION CODE, OR PROFILE), THE eSIM SHALL BE DEEMED DELIVERED AND CONSUMED, AND ALL FEES PAID ARE NON-REFUNDABLE AS A MATTER OF RULE.

第一部分 服務協議

PART I — TERMS OF SERVICE

1. 定義

1. DEFINITIONS

1.1 「eSIM」指嵌入式 SIM 卡(Embedded SIM),透過電子方式下載至相容裝置,並由 Pionex 自 eSIM 平臺分銷、並由底層運營商提供的遠端預置移動使用者識別配置檔案。

1.1 ‘eSIM’ means an embedded SIM electronically downloaded to a compatible device, providing a remotely-provisioned mobile subscriber identification profile distributed by Pionex from eSIM platform and delivered by Underlying Operators.

1.2 「套餐」指您在 Pionex 應用內選購的特定流量、語音分鐘數、簡訊條數、覆蓋國家/地區及有效期組合。

1.2 ‘Plan’ means the specific package of data allowance, voice minutes, SMS volume, country/region coverage, and validity period purchased through the Pionex Application.

1.3 「相容裝置」指經裝置廠商認證支援 eSIM 功能且未被運營商鎖定的裝置。

1.3 ‘Compatible Device’ means a device certified by its manufacturer to support eSIM functionality and not network-locked to any operator.

1.4 「啟用」指 eSIM 配置檔案被下載並安裝至您的裝置,且首次在網路上註冊成功的時刻。

1.4 ‘Activation’ means the moment when the eSIM profile is successfully downloaded, installed on your device, and registered to the network for the first time.

1.5 「Pionex 應用」指由 Pionex 平臺運營和釋出、可供您購買、啟用與管理 eSIM 的移動應用程式及其網頁端。

1.5 ‘Pionex Application’ means the mobile application and associated web portal operated and published by Pionex, through which you may purchase, activate, and manage your eSIM.

1.6 「轉售商」指 Pionex,其以分銷商身份,透過eSIM 平臺 API在 Pionex 交易平臺上向使用者分銷 eSIM 套餐。「底層運營商」指eSIM平臺在其平臺上聚合的各持牌電信運營商。Pionex 自身不持有亦不運營任何電信網路基礎設施,不申請或持有任何電信業務經營許可證,與底層運營商之間不存在直接合同關係。

1.6 ‘Reseller’ means Pionex, which distributes eSIM Plans to users through the eSIM platform API on the Pionex trading platform. ‘Underlying Operators’ means the licensed telecommunications operators aggregated by eSIM platform on its platform. Pionex does not own or operate any telecommunications network infrastructure, does not hold any telecommunications service licence, and has no direct contractual relationship with any Underlying Operator.

2. GENERAL AND PIONEX OPERATOR

2.1 本服務由 Pionex 運營主體(Pionex Operator,與《Pionex Terms of Service》中的 Pionex Operator 定義一致;當前為 Marketa Trading Inc.,下稱「Pionex」或「我們」)以分銷商身份,透過 eSIM 平臺API 在 Pionex 交易平臺上向使用者分銷 eSIM 套餐。Pionex 不持有電信牌照,不運營任何電信網路;底層運營商就網路連線、服務質量及監管合規事項承擔獨立責任,eSIM平臺就其平臺 API 服務承擔獨立責任。Pionex Pte. Ltd. 與 Pionex Inc. 均非 Pionex 運營主體。本協議系《Pionex Terms of Service》之外,您與 Pionex 運營主體就 Pionex eSIM 服務專門訂立的補充協議;如本協議與《Pionex Terms of Service》存在衝突,就 eSIM 服務範圍內以本協議為準。

2.1 The Services are provided by the Pionex Operator (as defined in the Pionex Terms of Service; currently Marketa Trading Inc., ‘Pionex’ or ‘we’), acting as a distributor through the eSIM platform API, distributing eSIM Plans on the Pionex trading platform. Pionex does not hold a telecommunications licence and does not operate any telecommunications network. Underlying Operators bear independent responsibility for network connectivity, service quality, and regulatory compliance; eSIM platform bears independent responsibility for its platform API services. Neither Pionex Pte. Ltd. nor Pionex Inc. is the Pionex Operator. This Agreement is a supplement to the Pionex Terms of Service, entered into specifically in respect of the Pionex eSIM Services; in the event of any conflict between this Agreement and the Pionex Terms of Service in respect of the eSIM Services, this Agreement shall prevail.

2.2 本服務面向全球旅行者與跨境使用者提供包含以下能力的連線服務:(a) 移動資料;(b) 語音通話(撥出與接聽);(c) 簡訊(SMS);(d) 多國/全球漫遊能力。具體套餐所包含的能力組合以購買頁面公示為準。

2.2 The Services are offered to global travellers and cross-border users and may include: (a) mobile data; (b) voice calls (outbound and inbound); (c) SMS; and (d) multi-country/global roaming. The exact combination of capabilities included in each Plan is as displayed on the purchase page.

2.3 您理解,eSIM 服務依賴於本地運營商的網路可用性、覆蓋範圍、電波傳播條件、政策與法規限制,可能存在不可避免的服務波動。

2.3 You acknowledge that eSIM Services depend on the availability, coverage, signal propagation, and regulatory conditions of local operators, and that service variations are inherent and unavoidable.

2.4 Pionex 作為分銷商,其職責僅限於透過eSIM平臺API 在 Pionex 交易平臺上展示、銷售並協助您完成 eSIM 套餐的購買與啟用。Pionex 對底層運營商提供的網路基礎設施、網路覆蓋、通話質量、資料速率、服務可用性及運營商自身的監管合規狀態不作任何陳述、擔保或承諾,亦不就上述事項承擔任何責任。

2.4 Pionex, acting solely as a distributor through the eSIM platform API, is responsible only for presenting, selling, and facilitating the purchase and activation of eSIM Plans on the Pionex trading platform. Pionex makes no representation, warranty, or commitment regarding the network infrastructure, coverage, call quality, data speeds, service availability, or regulatory compliance status of any Underlying Operator, and accepts no liability in respect of the foregoing.

3. 資格、裝置相容性與啟用

3. ELIGIBILITY, DEVICE COMPATIBILITY AND ACTIVATION

3.1 購買前,您須自行確認裝置:(a) 物理支援 eSIM;(b) 未被原運營商或廠商鎖定;(c) 已升級至支援 eSIM 的作業系統版本。Pionex 在購買頁面提供相容性參考清單,但裝置相容性的最終核驗責任由您承擔。

3.1 Prior to purchase, you must verify that your device: (a) physically supports eSIM; (b) is not network-locked; and (c) runs an OS version that supports eSIM. Pionex publishes a compatibility reference on the purchase page, but final responsibility for device compatibility verification rests with you.

3.2 eSIM 配置檔案透過 Pionex 應用以二維碼或一鍵安裝方式交付。通常啟用在幾分鐘內完成;個別情況下可能受網路條件影響。啟用後,eSIM 即被視為已交付並開始使用。

3.2 The eSIM profile is delivered via the Pionex Application by QR code or one-tap installation. Activation typically completes within minutes, though it may be delayed under certain network conditions. Once activated, the eSIM shall be deemed delivered and consumed.

3.3 您理解,eSIM 配置檔案一經下載與啟用即不可撤回或轉移至他人;刪除 eSIM 不會恢復任何餘量或退款。

3.3 You acknowledge that once downloaded and activated, an eSIM profile cannot be recalled or transferred to another person; deletion of the eSIM does not restore any remaining balance or entitle you to any refund.

4. 資費、套餐與有效期(不予退費)

4. FEES, PLANS AND VALIDITY (NON-REFUNDABLE)

4.1 本服務按預付費模式銷售。您在使用前完成全額支付後,Pionex 方為您啟用 eSIM 套餐。所有價格在購買頁面以美元標價,並以 USDT(泰達幣)從您的 Pionex 賬戶餘額中扣減結算。

4.1 The Services are sold on a pre-paid basis. Pionex will enable the eSIM Plan only after you have completed the full payment. All prices are displayed on the purchase page in U.S. Dollars and are settled by deducting the equivalent amount in USDT (Tether) from your Pionex account balance.

4.2 資料按使用量扣減,單次會話向上取整至最接近的千位元組(KB);語音通話向上取整至最接近的分鐘;簡訊按條計費。

4.2 Data is decremented per consumption and rounded up to the nearest kilobyte (KB). Outbound voice calls are rounded up to the nearest minute. SMS is charged per message.

4.3 套餐自啟用時刻(或購買時刻,以您在購買頁面所見明示規則為準)起算其有效期。有效期屆滿時,未使用的額度(資料、語音、簡訊)即時失效且不予退款,您需重新購買以繼續使用。

4.3 The validity period of a Plan starts from the moment of Activation (or from purchase, as expressly stated on the purchase page). Upon expiration, any unused allowance lapses immediately, no refund is payable, and you must purchase a new Plan to continue using the Services.

4.4 如您在購買頁面明確勾選自動續訂,套餐將在用盡流量或到期時自動續訂,最長不超過 90 天或四次續訂(以先到者為準)。您可隨時在 Pionex 應用內取消自動續訂。

4.4 If you have expressly opted in to auto-renewal on the purchase page, the Plan will automatically renew upon depletion or expiry, for a maximum of 90 days or four (4) renewals (whichever occurs first). You may cancel auto-renewal at any time within the Pionex Application.

4.5 套餐價格已包含或不含適用稅費,將在結賬頁面明示。任何由您賬單地址所在司法管轄區追加的稅費由您承擔。

4.5 Whether Plan prices are inclusive or exclusive of applicable taxes will be displayed at checkout. Any taxes additionally imposed by the jurisdiction of your billing address shall be borne by you.

5. 在 Pionex 應用內購買

5. PURCHASE VIA THE PIONEX APPLICATION

5.1 本服務僅透過 Pionex 應用(含其網頁端)以應用內購買(IAP)方式提供。您應使用您本人合法持有的 Pionex 賬戶與支付方式完成購買。

5.1 The Services are offered exclusively through the Pionex Application (including its web portal) via In-App Purchase. You must use a Pionex account and a payment method lawfully held in your own name.

5.2 您不得:(a) 轉售、轉贈、出借或以任何商業目的分發本服務(包括向任何第三方轉讓 eSIM 配置檔案、啟用碼或二維碼);(b) 利用任何漏洞、指令碼、虛假賬號或欺詐方式購買。

5.2 You may not: (a) resell, gift, lend, or otherwise distribute the Services for any commercial purpose, including transferring any eSIM profile, activation code, or QR code to any third party; or (b) purchase via any vulnerability, script, false account, or fraudulent means.

5.3 支付完成後,Pionex 透過eSIM平臺API 完成套餐下單,並透過應用內向您交付 eSIM 啟用碼或配置檔案。套餐費用以 USDT 從您的 Pionex 賬戶餘額中扣減,USDT 與美元之間的匯率以扣減時的實際匯率為準,相關匯率波動風險由您承擔。

5.3 Upon successful payment, Pionex will place the order via the eSIM platform API and deliver the eSIM activation code or profile to you in-app. Plan fees are deducted in USDT from your Pionex account balance; the USDT/USD exchange rate applicable at the time of deduction shall prevail, and exchange rate fluctuation risk shall be borne by you.

6. 受限行為與使用者義務

6. RESTRICTED ACTIVITIES AND USER OBLIGATIONS

6.1 您承諾:(a) 僅為個人合法通訊目的使用本服務;(b) 不進行欺詐、騷擾、辱罵、淫穢、威脅、煽動暴力或其他違法活動;(c) 不傳送垃圾資訊、群發營銷簡訊、自動撥號;(d) 不利用本服務執行機器卡(modem pool, SIM box)、自動外呼、號碼農場或其他批次業務;(e) 不上傳或傳播侵犯第三方智慧財產權的內容。

6.1 You undertake that: (a) you will use the Services solely for personal lawful communication purposes; (b) you will not engage in fraudulent, harassing, abusive, obscene, threatening, violence-inciting, or unlawful activities; (c) you will not send spam, bulk marketing SMS, or operate auto-dialers; (d) you will not use the Services to run modem pools, SIM boxes, automated outbound calling, number farming, or any bulk-traffic business; and (e) you will not upload or distribute content that infringes third-party intellectual property rights.

6.2 您應妥善保管 Pionex 賬戶、裝置及 eSIM。如裝置遺失、被盜或可疑使用,應立即透過 Pionex 應用掛失,並通知客服。在您通知前發生的全部使用與費用均由您承擔。

6.2 You shall keep your Pionex account, device, and eSIM secure. In case of loss, theft, or suspicious use, you must immediately suspend the eSIM via the Pionex Application and notify customer support. All usage and charges incurred before such notice shall be borne by you.

6.3 您應遵守您所在國家及當地國家的全部法律,包括但不限於電信、出口管制、反恐與反洗錢法律。在某些國家使用 VoIP、加密通訊或漫遊可能受到額外限制;您應自行核實並承擔合規義務。

6.3 You shall comply with all laws of your home country and any country in which you use the Services, including telecommunications, export control, anti-terrorism, and AML laws. Use of VoIP, encrypted communications, or roaming may be additionally restricted in certain countries; you are responsible for verifying and complying.

7. 漫遊與公平使用

7. ROAMING AND FAIR USE

7.1 本服務面向旅行與短期跨境使用而設計,並非用於半永久或永久駐留某地使用。在任一國家/地區連續或累計使用超過 90 天的,我們有權立即暫停或終止該 eSIM 的網路服務。

7.1 The Services are designed for travel and short-term cross-border use, not for semi-permanent or permanent in-country use. If you use the Services in any single country/region continuously or cumulatively for more than 90 days, we may immediately suspend or terminate the network service for that eSIM.

7.2 在標稱無限流量或大額套餐中,為保障網路公平使用,運營商可能在達到合理閾值後實施速率降速、限制熱點共享或調整服務質量。具體閾值在購買頁面披露。

7.2 For Plans labelled unlimited or with large allowances, operators may apply rate throttling, restrict hotspot sharing, or adjust quality of service after reaching reasonable fair-use thresholds. Thresholds will be disclosed on the purchase page.

7.3 漫遊可能產生不同的服務質量、網路制式或法規要求;在某些國家不可使用或僅可使用部分功能。Pionex 不就特定地點、特定時間的網路可用性作出保證。

7.3 Roaming may involve different qualities of service, network technologies, or regulatory requirements; certain countries may restrict or prohibit some or all functions. Pionex makes no warranty as to network availability at any particular location or time.

8. 不予退費及退費政策

8. NON-REFUNDABLE FEES AND REFUND POLICY

8.1 THE eSIM SERVICES ARE PRE-PAID DIGITAL CONTENT DELIVERED ON-DEMAND AND REMOTELY ACTIVATED. ONCE PURCHASED AND DELIVERED (INCLUDING THE GENERATION OR DOWNLOAD OF A QR CODE, ACTIVATION CODE, OR PROFILE), THE eSIM SHALL BE DEEMED DELIVERED AND CONSUMED, AND ALL FEES PAID ARE NON-REFUNDABLE AS A MATTER OF RULE.

8.1 eSIM 服務為預付費、按需遠端啟用的數字內容。eSIM 一經購買並交付(包括但不限於二維碼、啟用碼、配置檔案已生成或下載),即視為已交付與開始消費,原則上不予退費。您理解並同意:在適用法律允許的最大限度內,您支付的全部費用均為不可退還(NON-REFUNDABLE),無論您是否實際使用、是否完整使用,或您的裝置/網路/出行計劃是否發生變更。

8.2 如您所在司法管轄區的強制性消費者保護法律賦予您購買數字內容後的冷靜期或解除權,且 eSIM 尚未啟用,您可在該權利有效期內聯絡客服請求取消並獲得相應退款。您明確同意立即開始履行本服務,並理解啟用 eSIM 後前述權利即告消滅。

8.2 If mandatory consumer-protection laws applicable to your jurisdiction grant you a cooling-off period or right of withdrawal for digital content purchases, and the eSIM has not yet been activated, you may contact customer support within the applicable period to request cancellation and receive a proportional refund. You expressly consent to immediate commencement of the Services, and acknowledge that activation of the eSIM extinguishes any such right.

8.3 在下列例外情形下,Pionex 可酌情提供等價補發或部分退款:(a) 因 Pionex 一方原因導致 eSIM 配置檔案無法下載或啟用,且在您提交工單後 10 個工作日內仍無法解決;(b) Pionex 主動停售或下線您所購套餐,導致您完全無法使用;(c) 適用的強制性消費者保護法律另有規定。請於事由發生之日起 30 日內透過 Pionex 應用內客服提交退費請求並配合提供證據。

8.3 By exception and at Pionex’s reasonable discretion, an equivalent re-issue or partial refund may be granted where: (a) the eSIM profile cannot be downloaded or activated due to a fault attributable to Pionex and remains unresolved within 10 business days of your ticket; (b) Pionex withdraws or discontinues the purchased Plan, making it entirely unusable; or (c) a mandatory consumer-protection law applicable to you provides otherwise. Submit such requests via in-app customer support within 30 days of the event, with supporting evidence.

8.4 下列情形明確不予退費:(a) 您的裝置不相容 eSIM、被鎖機或作業系統不支援;(b) 您輸入錯誤的國家/套餐導致選購錯誤;(c) eSIM 已啟用後您未實際使用、或部分使用;(d) 您違反本協議或可接受使用政策被暫停/終止;(e) 因底層運營商網路問題、eSIM平臺故障、政策調整或不可抗力導致的不可用;(f) 您將 eSIM 從裝置中刪除、錯誤重置裝置、刷機或更換裝置造成的損失。

8.4 No refund will be provided where: (a) your device is incompatible, network-locked, or its OS does not support eSIM; (b) you selected the wrong country/Plan; (c) the eSIM has been activated but you did not use it or only partially used it; (d) you have been suspended or terminated for breach of this Agreement or the AUP; (e) unavailability is caused by Underlying Operator issues, eSIM platform failures, regulatory changes, or force majeure; or (f) loss is caused by removing the eSIM, factory-resetting, re-flashing, or changing the device.

8.5 經稽核同意的退費將透過原支付渠道返還(即退回至您的 Pionex 賬戶 USDT 餘額),到賬時間最長可能需要 30 個工作日。我們也可能與您協商以 Pionex 應用內積分、代金券或同等套餐補發的形式處理。

8.5 Approved refunds will be returned via the original payment channel (i.e., credited to your Pionex account USDT balance) and may take up to 30 business days. By mutual agreement, refunds may also be settled by Pionex Application credits, vouchers, or equivalent Plan re-issuance.

9. 暫停與終止

9. SUSPENSION AND TERMINATION

9.1 在下列任一情形下,Pionex 有權立即暫停或終止本服務,且無需事先通知亦無須退還任何已支付費用:(a) 您違反本協議或可接受使用政策;(b) 我們合理懷疑您存在欺詐、濫用、洗錢或其他非法行為;(c) 應主管機關或法院的合法要求;(d) 為保護網路安全、其他使用者或網路合作方利益;(e) 您未提供必要的身份驗證或合規資訊。

9.1 Pionex may, without prior notice and without obligation to refund any sums paid, immediately suspend or terminate the Services where: (a) you breach this Agreement or the AUP; (b) we reasonably suspect fraud, abuse, money-laundering, or other unlawful activity; (c) we are required by a competent authority or court; (d) it is necessary to protect network security, other users, or our network partners; or (e) you fail to provide required identity verification or compliance information.

9.2 Pionex 可基於商業考慮或eSIM平臺/運營商合作變更,停止任一套餐的銷售,並將就剩餘可用部分按公平合理方式與您協商處置。

9.2 Pionex may discontinue the sale of any Plan due to commercial considerations or changes in its arrangements with eSIM platform or Underlying Operators. Any remaining available portion will be addressed with you on a fair and reasonable basis.

10. 智慧財產權

10. INTELLECTUAL PROPERTY

10.1 Pionex 應用、品牌、商標、文案、介面、技術、配置檔案及一切相關材料的全部智慧財產權歸 Pionex 及其許可方所有。我們僅授予您一項有限的、可撤銷的、不可轉讓的、不可再許可的、個人非商業使用本服務的權利。

10.1 All intellectual property in the Pionex Application, brand, trademarks, copy, interface, technology, profiles, and related materials are owned by Pionex and its licensors. We grant you only a limited, revocable, non-transferable, non-sublicensable right to use the Services for personal, non-commercial purposes.

11. 免責宣告與責任限制

11. DISCLAIMER OF WARRANTY AND LIMITATION OF LIABILITY

11.1 本服務按「現狀」和「可用即用」原則提供。在適用法律允許的最大限度內,對於由本服務或本協議引起的任何間接、附帶、特殊、懲罰性或後果性損害(包括但不限於利潤損失、收入損失、合同損失、資料損失、商譽損失),Pionex 不承擔任何責任。

11.1 THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PIONEX SHALL HAVE NO LIABILITY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE SERVICES OR THIS AGREEMENT.

11.2 Pionex 對本協議項下的全部累計責任,無論基於合同、侵權(含過失)、違反法定義務或其他事由,以您在事由發生前 12 個月內為本服務向 Pionex 實際支付的金額為限。

11.2 The total aggregate liability of Pionex under this Agreement, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall be limited to the amount actually paid by you to Pionex for the Services in the twelve (12) months preceding the event giving rise to the claim.

11.3 本條不限制或排除以下責任:(a) 我們因疏忽造成的人身傷害或死亡;(b) 欺詐或欺詐性虛假陳述;(c) 適用法律明確禁止排除的任何責任。

11.3 Nothing in this clause limits or excludes liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be limited or excluded under applicable law.

11.4 您理解並同意,Pionex 對以下情形不承擔責任:(a) 因底層運營商網路故障、擁塞、維護、政府關閉網路或 eSIM 平臺故障等導致的服務不可用;(b) 您的裝置、作業系統、網路設定或第三方應用的問題;(c) 不可抗力,包括但不限於自然災害、戰爭、暴動、罷工、流行病、政府命令、網路攻擊、關鍵供應商故障。

11.4 Pionex shall not be liable for: (a) service unavailability caused by Underlying Operator failures, congestion, maintenance, government-imposed shutdowns, or eSIM platform failures; (b) issues with your device, OS, network settings, or third-party applications; or (c) force majeure events, including natural disasters, war, riots, strikes, pandemics, governmental orders, cyber-attacks, or failures of critical suppliers.

11.5 Given that Pionex acts solely as a distributor, the following additional disclaimers apply: (a) Underlying Operator liability — any claims relating to network connectivity quality, coverage, service availability, or data transmission integrity shall be directed to the relevant Underlying Operator (through eSIM platform’s customer service channels), and Pionex bears no direct liability therefor; (b) Regulatory compliance — the telecommunications licensing status and regulatory compliance obligations of Underlying Operators, the operating qualifications and regulatory compliance obligations of eSIM platform, and any regulatory penalties arising from their non-compliance, have no connection with Pionex; and (c) Operator or eSIM platform-initiated changes — where an Underlying Operator or eSIM platform unilaterally changes its network policies, Plan contents, technical specifications, or discontinues providing a service, resulting in your inability to enjoy a purchased Plan, Pionex’s liability shall be limited to a refund of the pro-rated purchase price for the unused portion of the Plan (credited to your Pionex account USDT balance), and no other compensation shall be payable.

12.1 Pionex may update this Agreement from time to time in response to changes in law, business, or its arrangements with eSIM platform or Underlying Operators. Material changes will be notified at least thirty (30) days in advance via the Pionex Application, email, or website notice. Continued use after the effective date shall constitute acceptance.

13.1 Dispute resolution and the applicable law for this Agreement shall in principle be governed by the corresponding provisions of the Pionex Terms of Service. In the event of any conflict between the dispute resolution provisions of the Pionex Terms of Service and the specific provisions of this Agreement in respect of the eSIM Services, this Agreement shall prevail.

18.1 We share personal data only as necessary and on lawful bases with: (a) Pionex affiliates; (b) eSIM platform (order data only, including Plan type, activation codes, and order status; your personal identity information is not transmitted to eSIM platform); (c) payment service providers and anti-fraud providers; (d) cloud, storage, and IT service providers; (e) legal advisors and auditors; and (f) law enforcement or regulators where required by law.

18.2 eSIM platform receives only order data required for Plan fulfilment (Plan type, activation codes, order ID, etc.) and does not receive your name, email, identity information, payment information, or browsing activity. Underlying Operators receive technical network data (such as IMSI/MSISDN/IP) required for connectivity through the eSIM platform network and cannot directly access your Pionex account information. We require eSIM platforms and other data processors to comply with applicable data-protection laws and to execute data-processing agreements compliant with applicable data-protection laws.

METHOD OF RECORD AND ACKNOWLEDGEMENT

A.1 本協議的簽註與確認採用電子方式完成。當您在 Pionex 網站或應用程式內使用您已註冊的賬戶購買、啟用或使用 eSIM 服務時,Pionex 將依據您在 Pionex 平臺上完成 KYC 與賬戶註冊時所留存的身份與聯絡資訊,自動為您登記並存檔下列簽註資訊,作為本協議成立與生效的有效憑證。

A.1 Acknowledgement of this Agreement is completed electronically. When you purchase, activate, or use the eSIM Services through your registered account on the Pionex website or application, Pionex will automatically record and archive the following acknowledgement details based on the identity and contact information you have provided during KYC and account registration. Such records shall constitute valid evidence of the formation and effectiveness of this Agreement.

A.2 您理解並同意:(a) Pionex 據此為您代為完成本協議的簽註登記,無需您另行提供紙質簽名;(b) 上述電子記錄可作為您接受本協議、完成購買及表達同意的充分證據;(c) 您可透過 Pionex 應用內「賬戶—訂單記錄」或「賬戶—隱私」模組隨時查閱相關簽註與同意記錄。

A.2 You understand and agree that: (a) Pionex completes the acknowledgement and record-keeping of this Agreement on your behalf, and you are not required to provide any separate paper signature; (b) the foregoing electronic records together with Pionex system logs shall constitute sufficient evidence of your acceptance; and (c) you may review the acknowledgement and consent records relating to you at any time via the ‘Account → Order History’ or ‘Account → Privacy’ sections of the Pionex Application.

A.3 You shall ensure that your Pionex account registration information remains true, accurate, and complete. If your identity, contact details, or address change, you shall promptly update them on the Pionex platform. Any adverse consequences arising from inaccurate or outdated registration information shall be borne solely by you.
